1. Acceptance of Terms

By accessing or using the website at seampoint.com (the “Site”), you agree to be bound by these Terms of Service (“Terms”). The Site is operated by Seampoint LLC (“Seampoint,” “we,” “our”). If you do not agree to these Terms, do not use the Site.

2. Description of the Site

Seampoint operates a research and advisory practice focused on AI governance and workforce transformation. The Site provides information about our research, published reports, blog content, an open analytical framework, and descriptions of our consulting services.

3. Informational Purposes Only

All content on the Site, including research findings, frameworks, blog posts, industry analyses, and white papers, is provided for general informational and educational purposes only. Nothing on the Site constitutes professional, legal, financial, or technical advice. You should consult qualified professionals before making business decisions based on information from the Site.

4. Intellectual Property

All content on the Site, including text, research, analytical frameworks, methodologies, data, graphics, logos, and design, is the copyrighted property of Seampoint, LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

Open framework content. The Seampoint Framework (published under /research/framework/) is made available for reference and educational use. You may cite and reference framework content with proper attribution to Seampoint. You may not republish substantial portions of it, create derivative works based on it, or use it as the basis for a competing commercial offering without prior written permission from Seampoint.

Blog and research content. Blog posts and research reports may be quoted in limited excerpts with attribution under standard fair use principles. Reproduction of full articles or systematic reproduction of multiple excerpts requires written permission.

AI and machine learning. You may not use content from the Site as training data, fine-tuning data, or input for any artificial intelligence or machine learning model, system, or service without prior written permission from Seampoint.

Trademarks. “Seampoint,” the Seampoint logo, and “Seampoint Map” are trademarks or service marks of Seampoint, LLC. Use of these marks without written permission is prohibited.

Reservation of rights. All rights not expressly granted in these Terms are reserved by Seampoint, LLC.

5. Use of the Site

You agree to use the Site only for lawful purposes. You must not:

Interfere with the operation of the Site or other visitors’ access
Attempt to gain unauthorized access to any part of the Site or its infrastructure
Use automated tools to scrape, crawl, or download the Site’s content, whether for commercial purposes, AI/ML training, or any other systematic reproduction
Use the Site’s content as input for any AI or machine learning system without written permission
Misrepresent your affiliation with Seampoint

6. Contact Form

If you submit information through the contact form, you consent to Seampoint using that information to respond to your inquiry and to contact you about our services. We will not add you to marketing email lists without your explicit consent.

7. Third-Party Links

The Site may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of service of linked sites. Inclusion of a link does not imply endorsement.

8. Disclaimer of Warranties

The Site and its content are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Seampoint does not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) research findings or analyses will be accurate or complete; or (c) the Site will meet your specific requirements.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Seampoint and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Site, including but not limited to damages for loss of profits, data, goodwill, or other intangible losses.

Seampoint’s total aggregate liability for all claims arising from these Terms or the Site shall not exceed one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Seampoint and its officers, directors, employees, and agents from claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Site or your violation of these Terms.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any dispute arising from these Terms or the Site shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah.

Class action waiver. Any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Changes to Terms

We may modify these Terms at any time. We will update the “Last updated” date above. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.
